The By-Laws is an important community document. Other than officially naming the HOA and defining the definitions as those used in the original governing document: Declaration of Covenants, Conditions and Restrictions and Deed of Easement, this document defines how the HOA is governed, by whom, and their responsibilities.


  • Article IV of the By-Laws describes the management of, nomination of, election of, replacement of the Board of Directors. It also describes compensation, actions without a meeting, and indemnification of the Board.
  • Article V describes the types of Directors meetings and quorum definitions for the transaction of business.
  • Article VI describes the powers and duties of the Board of Directors.
  • Article VII describes Officers and their duties. In this HOA there are no separate officers. The BOD members are the officers.
  • Article VIII describes committees.
  • Article IX describes the right of any member to inspect the books, records and papers of the association.
  • Article X describes the requirement for a corporate seal.
  • Article XI describes the right to amend the by-laws,
  • Article XII covers special amendments.
  • Article XII defines the fiscal year and conflict between the Articles of Incorporation and the By-Laws.
